1. Role, Eligibility and Vetting

1.1 You confirm the accuracy of your CV and credentials and agree to lawful reference or background checks.

1.2 You meet course prerequisites and can teach in Arabic and/or English as agreed.

1.3 You will follow Elevorix pedagogy, accessibility, and safety standards.

2. Engagement Models

2.1 Part-time: hourly or cohort-based delivery with defined contact hours and preparation time.

2.2 Full-time: fixed working hours and responsibilities per offer letter.

2.3 Extra workshops, grading, or mentoring require prior written approval in the Statement of Work (SOW).

3. Deliverables, Quality and Service Levels

3.1 Deliverables may include session plans, slides, labs, assessments, and rubrics.

3.2 On-time delivery, constructive feedback, and responses to learner queries within 1 business day outside class are expected.

3.3 Class cancellations require 48 hours' notice except for emergencies; assist with rescheduling or qualified substitutes.

4. Integrity, AI Use and Academic Standards

4.1 Uphold academic integrity and model proper AI use.

4.2 Disclose meaningful AI assistance in materials and ensure originality where required.

4.3 Enforce program integrity rules fairly and document issues for Elevorix review.

AI Guidelines: As an instructor, you play a crucial role in modeling responsible AI use and maintaining academic integrity standards.

5. Intellectual Property, Content Ownership and License

5.1 Unless designated work-for-hire in the SOW, you grant Elevorix a perpetual, worldwide, non-exclusive, royalty-free license to use, adapt, host, and display delivered materials for education and marketing.

5.2 Pre-existing materials you own remain yours; you warrant rights to any third-party or open-source content used.

5.3 Elevorix brand assets may be used only under current brand guidelines.

IP Rights: Your existing materials remain yours, but materials created specifically for Elevorix may be subject to different terms as outlined in your SOW.

6. Recordings, Name and Likeness

6.1 You consent to recording of live sessions for enrolled learners, quality assurance, and internal training.

6.2 Elevorix may show short excerpts and use your name, title, and photo in promotional contexts with reasonable attribution.

7. Confidentiality and Data Protection

7.1 Keep confidential all non-public information, student data, and internal documentation.

7.2 Use only approved systems to store or share student information; delete or return confidential materials on request.

7.3 Follow applicable data protection laws and Elevorix privacy standards.

Privacy Protection: Student data confidentiality is paramount. Use only approved systems and follow strict data protection protocols.

8. Compensation, Invoicing and Taxes

8.1 Rates and payment schedules are defined in your offer letter or SOW.

8.2 Payments are made against approved timesheets or milestones within 15 business days of a valid invoice, subject to taxes and compliance checks.

8.3 You are responsible for taxes and social insurance unless hired as an employee under local law.

Payment Terms: Ensure timesheets are accurate and submitted on time for prompt payment processing within 15 business days.

9. Non-Solicitation and Conflicts

9.1 During engagement and for 6 months after, do not solicit Elevorix learners for competing paid services outside Elevorix without written consent.

9.2 Disclose conflicts of interest in writing. Professional networking and open-source collaboration are not restricted.

10. Tools, Labs and Safety

10.1 Use approved platforms for video, repositories, and labs.

10.2 Follow lab safety for embedded, IoT, SDR, and security tools.

10.3 Offensive security activity requires written authorization and must stay within allowed ranges.

Security Warning: All offensive security activities must have explicit written authorization. Unauthorized testing is prohibited.

11. Performance Review and Remediation

11.1 Elevorix may conduct class observations, learner surveys, and peer reviews.

11.2 If issues arise, a remediation plan with clear milestones may be set; failure may result in replacement or termination.

12. Termination

12.1 Either party may terminate for convenience with 14 days' written notice unless local law requires otherwise.

12.2 Either party may terminate for cause for material breach, misconduct, or fraud.

12.3 On termination, return all Elevorix assets and cease use of internal systems.

13. Publicity and Attribution

13.1 You may reference your role at Elevorix in professional profiles.

13.2 Media statements or press releases require prior approval.

13.3 Do not disparage Elevorix or learners in public channels.

14. Warranties, Liability and Limits

14.1 You warrant that materials you provide are lawful and do not infringe third-party rights.

14.2 To the extent permitted by law, neither party is liable for indirect or consequential loss.

14.3 Direct liability is capped at fees payable for the last 3 months under the SOW.

15. Governing Law and Dispute Resolution

15.1 This Agreement is governed by the laws of the Arab Republic of Egypt.

15.2 Disputes: good-faith discussion; if unresolved within 15 business days, either party may escalate to the courts of Cairo.

15.3 Nothing prevents urgent injunctive relief.

16. Entire Agreement and Changes

16.1 This document plus your offer letter or SOW form the entire agreement.

16.2 Elevorix may update policies affecting pedagogy, safety, privacy, or platforms; material changes will be notified.
